At Retained Learning Co., we believe clear expectations create the best learning experience. These Terms of Service explain the general policies governing the use of this website and tutoring services provided by Retained Learning Co.

Use of this website is also subject to our Privacy Policy, which explains how personal information is collected, used, and handled.

Individual tutoring services may also be governed by a separate Tutoring Services Agreement, waiver, or other written agreement. If these Terms conflict with a signed agreement between Retained Learning Co. and a client, the signed agreement will control with respect to tutoring services.

We may update these Terms from time to time. Any updates will be posted on this page with a revised effective date. Changes will apply prospectively and will not retroactively alter an existing signed agreement unless otherwise agreed in writing.

Tutoring Services & Booking

Scheduling & Payment

Tutoring sessions are scheduled in advance and are subject to availability.

Payment is required before the scheduled session unless otherwise agreed in writing. Different payment, package, prepayment, or scheduling arrangements may be subject to additional written terms provided at the time of booking or purchase.

Clients are responsible for providing accurate contact, scheduling, and payment information.

Cancellation & Refund Policy

We understand that schedules change. Unless a different written cancellation policy applies to a particular package or service:

• 24 or more hours' notice: Full refund or account credit, at the client's choice.

• Less than 24 hours' notice or no-show: No refund.

Retained Learning Co. may waive or modify this policy at its discretion in cases of emergency, illness, severe weather, or other exceptional circumstances.

If Retained Learning Co. cancels a session and the session cannot be reasonably rescheduled, any payment made for that session will be refunded or credited to the client's account.

Supervision & Safety

For students who are minors, a parent, guardian, or other authorized responsible adult must be reachable during tutoring sessions.

For tutoring conducted in a private residence, a parent, guardian, or other authorized responsible adult must remain on the premises unless another arrangement has been agreed to in writing.

For online sessions and sessions conducted at public locations, supervision, arrival, departure, and pickup arrangements may be addressed in the applicable Tutoring Services Agreement.

Tutoring services are educational in nature and are intended to provide academic instruction, support, and skill development. Tutoring does not replace classroom instruction, licensed counseling, medical care, psychological services, or other professional services outside the scope of tutoring.

Student and Client Conduct

Retained Learning Co. strives to provide a respectful, supportive, and safe learning environment.

Students, parents, guardians, and other participants are expected to behave respectfully and to refrain from threatening, abusive, dangerous, discriminatory, or seriously disruptive conduct.

Retained Learning Co. may pause or end a session when conduct prevents effective instruction or creates a safety concern. Depending on the circumstances, a session ended because of serious or repeated inappropriate conduct may not be eligible for a refund.

Retained Learning Co. reserves the right to decline or discontinue services when reasonably necessary for safety, professional boundaries, or the ability to provide effective tutoring services.

Academic Outcomes

Retained Learning Co. is committed to providing high-quality, individualized instruction. However, student performance depends on many factors outside the tutor's control.

No particular grade, test score, admission decision, academic placement, course outcome, or other educational result is guaranteed.

Limitation of Liability

To the fullest extent permitted by applicable law, Retained Learning Co. will not be liable for indirect, incidental, special, or consequential damages arising from the use of this website or tutoring services.

To the fullest extent permitted by applicable law, Retained Learning Co.'s total liability arising from a particular tutoring service or transaction will not exceed the amount paid to Retained Learning Co. for the services giving rise to the claim.

Nothing in these Terms is intended to waive, release, or limit any liability that cannot lawfully be waived or limited under applicable law.

This section does not replace or modify any liability, waiver, indemnification, or insurance-related provisions contained in a separately signed Tutoring Services Agreement or waiver.

Intellectual Property

Unless otherwise identified as third-party content, the text, graphics, branding, website content, and original educational materials created by Retained Learning Co. are owned by Retained Learning Co. or used with permission.

Materials provided to clients may be used for the student's personal, noncommercial educational purposes. Retained Learning Co. materials may not be sold, publicly posted, distributed, reproduced for commercial use, or represented as another person's work without permission.

Third-party materials remain the property of their respective owners and are subject to any applicable third-party terms or licenses.

Privacy

Personal information is handled in accordance with our Privacy Policy.

Clients should avoid sending sensitive personal, medical, educational, or financial information through unsecured communication methods unless reasonably necessary for the provision of services.

Governing Law

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Nothing in these Terms is intended to waive any consumer protection or other legal right that cannot lawfully be waived.

If a separate signed agreement contains a governing-law, dispute-resolution, or venue provision, that provision will control with respect to services governed by that agreement.

Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.
